Pfizer Cuts Weeks Off Due Diligence Time with IntraLinks in €135 Million Divestment
Five month sale process features eight virtual datarooms hosting buyer teams located across europe
London, November 22, 2004
IntraLinks, Inc., the leading global provider of virtual data rooms to the M&A industry, today announced that it assisted Pfizer's (NYSE: PFE) Consumer Healthcare division in Europe in its sale process of 60 non-core over-the-counter and personal care brands, a transaction which was completed in June 2004. Pfizer used eight IntraLinks virtual data rooms to allow buyers across Europe to conduct due diligence online.
"Without IntraLinks, we would have had to create and staff a dozen or so physical data rooms," said Betty Dhaenens, Director Business Development for Pfizer Consumer Healthcare in Europe. "This would have been a costly, time-consuming process for our deal team, and would have delayed the completion of the sale by many weeks given the number of parties participating. Managing these different levels of access to paper data rooms would also have created a logistical nightmare."
Pfizer's financial advisor, Merrill Lynch, and its legal team from Cameron McKenna, recommended the use of IntraLinks given the complexity of the sale process.
"Corporate dealmakers need to focus on moving assets, not boxes; signing deals, not shipping forms," said Rob Fisher, Managing Director for IntraLinks. "Pfizer's sale demonstrates that due diligence for M&A does not need to be cumbersome and time-consuming when multiple parties with varied interests are involved."
Companies typically set up physical data rooms to house boxes with thousands of confidential documents for due diligence. Bidders must travel to these rooms to review the information for days, weeks or months at a time. Protecting buyer anonymity is critical to the sale process requiring limiting access to the data room to one party at a time.
IntraLinks moves the due diligence process to secure virtual data rooms. Authorized prospective buyers access the confidential information anytime, anywhere online. Multiple buyer teams can enter the virtual data room simultaneously without compromising their anonymity. This parallel process enables companies to allow hundreds of prospects to participate in the sale process without increasing the amount of time required for due diligence.
