Termos de Faturamento

Estes Termos de Cobrança regem a aplicação de taxas estabelecidas em qualquer Ordem de Serviço aos Serviços. Estes Termos de Faturamento podem mudar de tempos em tempos, conforme determinado a critério exclusivo da Intralinks, Inc. Quaisquer alterações a estes Termos de Faturamento entrarão em vigor quando a Intralinks os disponibilizar neste URL ou por meio de qualquer outra notificação fornecida pela Intralinks ao Cliente.

Billing Terms

These Billing Terms govern the application of fees set forth in any Work Order to the Services. These Billing Terms may change from time to time as determined in the sole discretion of Intralinks, Inc. (“Intralinks”), notwithstanding any other requirements for modifications or amendments that exist in the applicable Work Order or Master Services Agreement. Any changes to these Billing Terms shall become effective upon Intralinks making them available at

this URL or via any other notification provided by Intralinks to Client.

1. TAXAS

As "Taxas de uso" incluem a Taxa Base e quaisquer Taxas de Usuário Final adicionais, se houverem, e excluem taxas de Serviços Opcionais. A Taxa Base deverá ser faturada a partir do início do período de Uso. As Taxas de Uso, bem como as taxas de digitalização, se existirem, deverão ser pagas independentemente de o Cliente abrir ou não um Exchange para Usuários Finais, a menos que a falha na abertura do Exchange seja devido a inadimplência, negligência ou conduta dolosa da Intralinks. As taxas devem ser calculadas utilizando-se a definição decimal dos termos de armazenamento. Sempre que os Usuários Finais reais com permitidos nos Exchange(s) do Cliente excederem o limite então em vigor, tal limite do Usuário Final será aumentado conforme estabelecido acima, e a taxa de Usuário Final adicional aplicável deverá ser paga. O armazenamento total será contabilizado levando em consideração todos os Exchanges, para fins de medição de uso em relação aos limites aplicáveis. Taxas e cobranças adicionais para os Serviços Opcionais serão faturadas quando e conforme incorrerem.

Desde que o Cliente designe um(s) contato(s) principal(is) na criação do Exchange, o(s) contato(s) principal(is) do Cliente receberá(ão) um alerta gerado pelo sistema de que o Período de Uso está prestes a expirar.

Se o Cliente não tiver excluído a(s) Troca(s) licenciada(s) neste documento no final do Período de Uso aplicável, e enquanto nenhum aviso de rescisão desta Ordem de Serviço tiver sido dado, tal Período de Uso será estendido automaticamente por períodos mensais ou multimensais sucessivos, conforme especificado acima, até que a última Troca seja excluída por ou sob a direção por escrito do Cliente. Em consideração por tais extensões, o Cliente pagará uma taxa à Intralinks igual ao Limite de Uso Incluído ou ao uso total agregado do Período de Uso, conforme estabelecido na Ordem de Serviço, o que for maior, multiplicado pela Extensão de Preço Fixo (a "Taxa de Extensão de Preço Fixo") para cada Extensão de Período de Uso.

Quaisquer aumentos de armazenamento feitos durante a Extensão do Período de Uso estarão sujeitos ao pagamento de taxas de armazenamento adicionais, conforme estabelecido acima. Em relação às Extensões a Preço Fixo, quando o Cliente exceder o Limite de Uso Incluso dentro do Período de Uso inicial, será devida a taxa adicional aplicável (Taxa Adicional de Preço Fixo). A Taxa Adicional de Preço Fixo será igual à taxa do primeiro nível adicional incorrido em qualquer excesso durante a Extensão do Período de Uso. A Taxa de Extensão deverá ser paga com relação a cada Extensão do Período de Uso mensal ou multimensal que ocorra a partir do final do Período de Uso inicial, até a data em que o último Exchange for excluído - nenhuma determinação ou redução proporcional será feita com relação ao uso parcial de Trocas sob esta Ordem de Serviço. Esta Ordem de Serviço continuará em vigor até que todos os Exchanges criados sob os termos desta Ordem de Serviço sejam excluídos.

1. FEES

"Usage Fees" include the Base Fee and all incremental storage fees, if any, and exclude fees for Optional Services. The Base Fee shall be invoiced beginning upon commencement of the Use Period. Usage Fees as well as scanning charges, if any, shall be payable notwithstanding whether or when Client opens an Exchange to End Users, unless failure to open an Exchange is due to Intralinks' default, negligence, or willful misconduct. Fees shall be calculated using the decimal definition of storage terms. Whenever actual storage in Client’s Exchange(s) exceeds the storage limit then in effect, such storage limit shall be increased in the increments set forth herein, and the applicable incremental storage fee shall be payable. Storage will be totalled across all Exchanges for purposes of measuring usage against applicable limits. Incremental storage fees and charges for Optional Services will be invoiced as and when incurred.

Provided that Client designates a primary contact(s) at the creation of the Exchange, Client’s primary contact(s) shall receive a system-generated alert that the Use Period is about to expire.

If Client has not deleted the Exchange(s) licensed hereunder at the end of the applicable Use Period, and so long as no notice of termination of this Work Order has been given, such Use Period will be extended automatically for successive monthly or multi-monthly periods, as specified above, until the last Exchange is deleted by or at the written direction of Client. In consideration for such extensions, Client shall pay a fee to Intralinks equal to the Included Use Limit or the total aggregate usage from the Use Period as set forth in the Work Order, whichever is greater, multiplied by the Fixed Price Extension (the “Fixed Price Extension Fee”) for every Use Period Extension.

Any storage increases made during Use Period extension shall be subject to payment of incremental storage fees as set forth above. With regards to Fixed Price Extensions, whenever Client exceeds the Included Use Limit within the initial Use Period, the applicable incremental fee shall be payable (“Fixed Price Incremental Fee”). The Fixed Price Incremental Fee will be the same fee as the first incremental tier for any overage(s) incurred during the Use Period Extension. The Extension Fee shall be payable with respect to every monthly or multi-month Use Period extension occurring from the end of the initial Use Period through the date the last Exchange is deleted - no pro rata determination or reduction shall be made with respect to partial use of Exchanges under this Work Order. This Work Order shall continue in effect until all Exchanges created hereunder are deleted.

2. TERMOS VINCULANTES:

Os termos em maiúsculas não definidos de outra forma neste documento têm os significados atribuídos a eles no Contrato ou Ordem de Serviço aplicável. No caso de qualquer inconsistência ou conflito entre estes Termos de Faturamento e o Contrato ou Ordem de Serviço, estes Termos de Cobrança regerão exclusivamente com relação aos Serviços fornecidos sob a Ordem de Serviço aplicável.

2. BINDING TERMS:

Capitalized terms not otherwise defined herein have the meanings ascribed to them in the applicable Agreement or Work Order. In the event of any inconsistency or conflict between these Billing Terms and the Agreement or Work Order, these Billing Terms shall govern solely with respect to the Services provided under the applicable Work Order.
